BYLAWS 

 

Article I: Name and Purpose

 

**Section 1: VET MOTHER EARTH**

The name of the organization shall be VET MOTHER EARTH, herein referred to as “the Organization.”

 

**Section 2: Purpose**

The purpose of the Organization shall be to:

– Provide veterinary services and care to animals in need.

– Offer education and resources to promote animal welfare and responsible pet ownership. 

 

Article II: Offices

 

**Section 1: Principal Office**

The principal office of the Organization shall be located at 3418 Front St., San Diego, California.

 

**Section 2: Additional Offices**

The Organization may have additional offices at such locations as the Board of Directors may determine.

 

Article III: Membership

 

**Section 1: Membership**

The Organization shall have [Select: “voting” or “non-voting”] membership open to individuals and entities interested in supporting the mission and objectives of the Organization. Membership eligibility and privileges shall be defined in the Membership Policy established by the Board of Directors.

 

**Section 2: Rights and Responsibilities**

Rights and responsibilities of members, including voting rights and dues (if applicable), shall be outlined in the Membership Policy.

 

Article IV: Board of Directors

 

**Section 1: Powers**

The affairs of the Organization shall be managed by a Board of Directors, responsible for overseeing the organization’s activities, policies, and financial matters.

 

**Section 2: Composition**

The Board of Directors shall consist of no fewer than 3 and no more than 12 members. Directors shall be elected or appointed and can serve consecutive terms as outlined in the Board Policy.

 

**Section 3: Meetings**

Regular meetings of the Board shall be held 1x a month with special meetings called as necessary. Notice and quorum requirements for meetings shall be established in the Board Policy.

 

Article V: Officers

 

**Section 1: Positions**

The officers of the Organization shall include a President, Vice President, Secretary, and Treasurer.

 

**Section 2: Duties**

The duties of each officer shall be outlined in the Officer Roles and Responsibilities document established by the Board.

 

**Section 3: Election and Term**

Officers shall be appointed by the President and shall serve at will. Officers may serve consecutive terms as outlined in the Officer Policy.

 

Article VI: Committees

 

**Section 1: Establishment**

The Board may create volunteer committees and advisories as deemed necessary to assist in carrying out the Organization’s purpose.

 

**Section 2: Committee Structure**

The structure, responsibilities, and procedures of committees shall be determined by the Board and outlined in the Committee Policy.

 

Article VII: Financial Matters

 

**Section 1: Fiscal Year**

The fiscal year of the Organization shall begin on Jan 1 and end on [12/31].

 

**Section 2: Financial Oversight**

The Board shall ensure appropriate financial oversight, including the adoption of an annual budget and financial reporting requirements as outlined in the Financial Policy.

 

Article VIII: Amendments

 

**Section 1: Amendment Process**

These bylaws may be amended by the President or a 100% vote of the Board of Directors at a regular or special meeting, provided that notice of the proposed amendment is given in advance. 

 

Article IX: Dissolution

 

**Section 1: Dissolution**

In the event of dissolution by the Board, any assets of the Organization shall be distributed to one or more nonprofit organizations with a similar mission, as determined by the Board of Directors.
